Welcome to Springwater Business Solutions LLC (“Springwater,” “we,” “us,” or “our”).
By accessing or using the Springwater WAVE System (“Service”), you agree to the following Terms and Conditions.

If you do not agree to these terms, please do not use the Service.


1. Description of Service

The Springwater WAVE System (Workflow Automation and Visitor Engagement) is a software-based system built on the GoHighLevel (GHL) platform and provided as a managed snapshot solution for churches.

The Service includes access to automation tools, CRM features, messaging workflows, training resources, and a private support community, depending on the selected subscription tier.


2. Eligibility

This Service is intended for churches, ministries, and faith-based organizations with authorized representatives who are at least 18 years of age.

By purchasing or using the Service, you confirm that you are authorized to act on behalf of your organization.


3. Account Setup & Onboarding

To activate the Service, customers must complete the onboarding checklist and provide accurate and complete information.

Setup timelines are dependent on:

Timely submission of required information

Accuracy of submitted materials

Current onboarding queue (first come, first served)

Incomplete or delayed submissions may result in onboarding delays without refund.


4. Fees, Billing & Payments

Subscription Fees

Monthly subscription fees are billed in advance and recur automatically unless canceled in writing.

Activation / Setup Fees

Activation fees are one-time, non-refundable fees that cover system configuration, customization, and implementation.

Payment plans may be offered for activation fees at Springwater’s discretion.

Usage-Based Fees

Certain services incur additional usage-based costs, including but not limited to:

SMS and MMS messaging

Email sending

Phone number provisioning

These costs are billed via a prepaid wallet system and are charged at provider rates. Usage fees are not bundled into subscription pricing.


5. No Refund Policy

Due to the nature of digital services, setup work, and system access:

Activation/setup fees are non-refundable

Subscription fees are non-refundable once billed

Usage fees are non-refundable

You may cancel future subscriptions according to the cancellation terms below.


6. Cancellation & Termination

You may cancel your subscription with written notice at least 14 days prior to your next billing cycle.

Upon cancellation:

Access to the system will remain active through the end of the current billing period

Data export is the responsibility of the customer

Accounts are deleted after termination unless otherwise requested

Springwater reserves the right to suspend or terminate accounts for violation of these terms, misuse of the platform, or non-payment.


7. Training & Support

Support is provided through:

The private Springwater community

Training videos and documentation

Announcements and updates

Live support, priority access, or strategic consulting may be available only at higher subscription tiers.

Springwater does not provide administrative, virtual assistant, or church staff services unless explicitly contracted separately.


8. Acceptable Use

You agree not to use the Service for:

Spam or unsolicited messaging

Illegal, abusive, or deceptive activities

Violations of SMS, email, or communication compliance laws

Activities that violate GHL platform policies

Failure to comply may result in immediate suspension without refund.


9. Data & Privacy

You retain ownership of your data.

Springwater does not sell or share customer data with third parties except as required to operate the Service (e.g., messaging providers).

Customers are responsible for compliance with all applicable privacy and communication laws.


10. Third-Party Platforms

The Service relies on third-party platforms, including GoHighLevel.

Springwater is not responsible for:

Platform outages

Provider pricing changes

Feature limitations or changes outside our control


11. Limitation of Liability

Springwater is not liable for:

Loss of revenue

Loss of data

Business interruptions

Indirect or consequential damages

The Service is provided “as is” without guarantees of specific outcomes.


12. Modifications to Terms

Springwater may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated terms.


13. Governing Law

These Terms are governed by the laws of the State of Idaho, without regard to conflict of law principles.
